The Oppression Remedy Under the Ontario Business Corporations Act

One of the most significant tools available to Ontario shareholders is the oppression remedy under section 248 of the Ontario Business Corporations Act (OBCA). This provision allows a complainant to apply to court for an order rectifying conduct that is oppressive, unfairly prejudicial to, or that unfairly disregards their interests as a shareholder, director, or officer.

Who Can Bring a Claim

The definition of a complainant is intentionally broad. Current and former shareholders, directors, and officers may all bring a claim, as may any other person the court considers a proper party. That flexibility gives minority shareholders and others in a weaker position standing to seek relief they might not otherwise have.

Remedies Available Under Section 248(3)

The range of remedies under section 248(3) is wide. A court may restrain the conduct complained of, appoint a receiver, amend a unanimous shareholder agreement, order the purchase of a shareholder’s shares, or, in serious cases, wind up the corporation entirely. The remedy is calibrated to the circumstances rather than fixed in advance.

OBCA, the Federal CBCA, and the Commercial List

The OBCA governs Ontario-incorporated companies. An analogous oppression remedy exists under the Canada Business Corporations Act for federally incorporated companies. Which statute applies depends on where the corporation was incorporated, and that distinction matters when planning a legal strategy.

Shareholder disputes involving either statute may be eligible to proceed on Toronto’s Commercial List, a specialized branch of the Ontario Superior Court of Justice staffed by judges experienced in complex commercial litigation.

Shareholder Agreements & Governance Frameworks

Many disputes are avoidable with the right documents in place from the start. Clear shareholder agreements set out decision-making authority and exit or buyout mechanisms, limiting the issues left to statutory defaults if a conflict arises later.
