Private Equity and Securities Agreements

Private equity is a broad class of alternative investments through which institutions and high net worth individuals can invest in pools of actively managed capital, commonly known as funds. Private equity funds are typically structured as limited partnerships that are professionally managed by a General Partner (i.e., the sponsor) who evaluates potential investments and has the authority to make investments on behalf of the Limited Partner through the fund in accordance with the fund's stated objectives and strategies. While private equity funds are not limited in the types of investments they can make (other than the limitations set forth in the fund's governing documents), the traditional private equity model consists of investments in privately held operating companies or take private transactions of publicly held companies through various combinations of equity and quasi-equity securities, together with third-party debt.
